Mergers and Acquisitions- Insurance related Solutions for Environmental and Reps & Warranties

James Vetter, Vice President, Environmental Practice

Appropriate management of environmental liabilities is critical in mergers and acquisitions.   If managed improperly, environmental liabilities may significantly depress expected return on investment, create a new burden on cash flow, and negatively affect the ability to close a deal or successfully exit in the future.  An appropriate understanding of the materiality with environmental risks, together with structuring the right environmental risk management or insurance solutions can be decisive in delivering results, and providing competitive advantage on individual transactions and overall business strategy.  Similarly, broader M&A risks may also inhibit deal execution and post-transaction performance including issues related to representations and warranties and tax liabilities.

 Mr. James Vetter will speak on insurance and risk management related solutions for M&A related environmental and reps and warranties issues.  Mr. Vetter is a Vice President with Marsh USA.  He has over twenty years of diverse environmental and insurance experience, and advises global clients on risk management and insurance solutions & best practices across many industry sectors with a strong emphasis in chemical, petrochemical, energy and manufacturing.

IBBA Spring Conference

June 4-10, 2006

Marriott Hotel and the Hartford Convention Center - Hartford, CT

The IBBA provides two conferences a year, one east of the Mississippi and one west of the Mississippi. Each conference provides educational classes, professional workshops put on by leaders throughout the profession, nationally recognized keynote speakers, the M&A Expo and a Trade Fair. The Expo brings together 60 Private Equity Groups with the attending business brokers to discuss mutually beneficial opportunities. The Trade Fair will put 35 vendors in a exhibition hall to display their services and offerings to the business brokers.
